All foreign citizens have the opportunity to register a company in Bulgaria, regardless of whether they are citizens of an EU member state or not. A residence permit in Bulgaria is not a mandatory requirement for company registration. Our team of highly qualified specialists will guide and support you throughout the entire process of establishing your business in Bulgaria.

Ways to prepare

Before starting the company registration procedure in Bulgaria, there are several important steps and requirements to consider. With our assistance, you can easily navigate them. In the following sections, you will find detailed information about the necessary documents, required clarifications, and key aspects you should prepare in advance.
Identification Documents
When visiting a bank or a notary, you will be required to present a valid identification document issued by your national authorities (passport or ID card). If you already hold a long-term or permanent residence certificate in Bulgaria, you must still present a passport or ID for identification purposes. An important note: your name must be written in Cyrillic.
1.
Interpretation Services
A licensed interpreter is legally required for registration processes and official appointments with banks or notaries. Our experts ensure the precise translation of all your documentation, providing you with professional support every step of the way. We are happy to connect you with a qualified specialist tailored to your needs.
2.
Company Name
The name of your company must be unique. It will be pre-checked in the Commercial Register to ensure it is not already in use. The name must be written in Bulgarian, which is a mandatory requirement.
3.
Legal Form of the Business
It is essential to determine the legal form of your company prior to registration. Common options include OOD/EOOD (equivalent to a Limited Liability Company / LLC) or AD (equivalent to a Joint-Stock Company / PLC).

4.
Registered Office Address in Bulgaria
A registered office address is a legal requirement for your company. You can choose from the following options based on your needs:

- Residential address within Bulgaria;
- Address of a trusted associate or representative;
- Physical office or commercial premises;
- Address of your accounting or legal firm;
- Virtual office address.
5.
Business Objects and Activities
The "Objects of the Company" define the scope of your business activities. It is essential to draft this description accurately prior to registration. We are here to assist you – simply let us know your planned business operations, and we will help you formulate the appropriate legal wording.
6.
Share Capital of the Company
The minimum share capital for incorporating an OOD/EOOD is only 1 EUR (equivalent to 1.96 BGN). The capital can be deposited either in cash or transferred to a designated capital account at a Bulgarian bank. To facilitate this, a dedicated capital deposit account (escrow account) is opened in the name of the company "under formation." Once the funds are deposited, the bank issues a Certificate of Deposit. This document is a mandatory requirement for the Commercial Register to prove that the capital has been paid in full.
7.
Distribution of Shares
This applies specifically to the OOD, as in an EOOD (Single-member LLC), the sole owner holds 100% of the shares. In an OOD, the capital is divided among the partners based on their contribution.In practice, the most common structure involves two partners with a 50/50 split. However, other distribution options are entirely possible depending on the partners' agreement.
8.

Remote Company
Registration.

If you are not physically present in Bulgaria, you can still register your company remotely. We provide full assistance throughout the process. Please take note of the following requirements:
Notarized Documents: According to the Commercial Register Act, the appointed Director must provide a notarized Consent Declaration and a Specimen Signature.
Capital Deposit: To register an OOD/EOOD, a capital deposit account must be opened. If you are abroad, you may authorize a representative via a Power of Attorney to complete the banking procedures on your behalf.

Advantages of Starting a Business in Bulgaria.

Establishing a company in Bulgaria offers significant strategic advantages. The country features one of the most favorable tax regimes in the European Union. With a flat corporate tax rate of just 10%, Bulgaria is a premier location for legal tax optimization. Regardless of your professional background, any investor can benefit from this competitive fiscal environment and the low cost of doing business.

Favorable Taxation: 10% Flat Tax

Bulgaria boasts one of the most attractive tax environments in the European Union. Both corporate and personal income taxes are set at a flat rate of just 10%. This low tax burden makes Bulgaria a premier destination for business operations and professional growth. Key fiscal benefits include zero municipal business tax (Gewerbesteuer) and a minimal 5% withholding tax on dividends. These streamlined and stable tax regulations provide investors with excellent financial predictability and high post-tax profitability.

Low Incorporation Costs

Setting up a Bulgarian LLC (OOD/EOOD) is significantly more affordable than in many other European jurisdictions. The minimum share capital required is just 2 BGN (approx. 1 EUR), making the initial setup straightforward and accessible. Furthermore, low legal and notary fees ensure that your overall incorporation expenses remain highly competitive.

Competitive Labor Costs

Bulgaria offers the most competitive labor costs within the European Union. While the workforce is highly skilled and educated, wage levels remain attractive for foreign investors. Social security contributions are significantly lower than in Western European countries like Germany. Furthermore, corporate tax incentives (including a 0% rate in specific high-unemployment regions) are available to stimulate economic growth and support strategic investments.

Stable Currency and Euro Integration

The Bulgarian Lev (BGN) is legally pegged to the Euro through a Currency Board arrangement at a fixed rate of 1 EUR = 1.95583 BGN. This stability eliminates exchange rate risks and ensures long-term financial predictability. Furthermore, Bulgaria officially adopted the Euro as its national currency on January 1, 2026. Customers benefit from the flexibility of managing accounts in both BGN and EUR. Your funds are managed within highly secure banking infrastructures that adhere to strict European financial and security regulations.
